This is a request that you withdraw, renounce, turn over all information,
or explicitly take full responsibility for all consequences resulting
from your “Unqualified Audit” of the Minuteman Project. Your professional
standing and audit are being used to mislead people in a field where you
may not be qualified to comment. We are in need of a forensic audit.
As you know, or should have known, there has been an ongoing legal dispute
regarding the leadership and legal organization of The Minuteman Project,
Inc. On January 26, 2007, Jim Gilchrist was terminated as President and
CEO of the Board of Directors. Steve Eichler, JD, and Tim Bueler were
also terminated for cause, including disloyalty and thwarting a financial
examination of the company. In their own declarations to the Court, they
specifically stated that they had never been Board members (documentation
available). Unfortunately, Jim Gilchrist claimed that he could not be
removed, and his ongoing actions continue to jeopardize the 501c4 tax
exempt status by declaring he has been the sole director, which violates
the IRC code for public oversight of funds. This is just one of many instances
that explain why he had to be removed for incompetent leadership.
You may know that Gilchrist filed an unverified complaint against the
Board of Directors of MMP after he had been legally terminated. He later
withdrew this lawsuit after the judge made several mentions of perjury
regarding his claimed sole-proprietor/sole-Board-member organizational
structure. And as you may know, there is a new pending lawsuit by the
lawful Minuteman Project Board of Directors to remove Gilchrist from his
unlawful claim to be President, as well as for fraud, misrepresentation,
and diversion of funds.
Though we have not reviewed the audit at this time, and I assume that
you signed the audit since it is an “Unqualified Audit”, and we are certain
that the lawful Board has not voted to hire you. In the near future, a
Forensic Audit will probably be necessary because we as the legal Officers
and legal Board of Directors did not vote to hire you, nor have we been
contacted for our input, so a great deal of crucial information will be
missing, including, but not limited to:
1) Most of the data regarding the inter-relationships between MMP and
several affiliated, co-owned, and nominally unaffiliated organizations
that engages in joint activities.
2) Your audit probably will not thoroughly examine how Minuteman Book
Club Financials interacted with MMP finances.
3) The Board of Director’s to include Marvin Stewart, Barbara Coe, and
Deborah Courtney have not agreed to conduct this particular audit, nor
have they signed off on the audit.
4) You have never contacted current Treasurer Deborah Courtney about the
Minuteman Project financial information which she has, despite her obvious
and extensive connections to the early Minuteman Project.
3) You have never examined the substantial outstanding debts owed to Ms.
Courtney and others.
5) Ms. Courtney and others have not been paid their consulting fees by
the terminated leadership of MMP.
At this point, Mr. Milaney, unless your audit was a thorough Forensic
Audit by court order, we believe you have only three viable options regarding
your previously published audit:
1) Explicitly accept full legal consequences for all the information regarding
Jim Gilchrist’s operations of Minuteman Project, including errors and
omissions
2) Publicly renounce your audit, explicitly stating that it was forced
upon you under false pretenses, and you were unaware of the complete extent
of the organization’s relationships and problems when you accepted the
job.
3) Hand over all information to a forensic auditing organization chosen
by the court, or deliver all your data to date into the hands of an escrow
organization.
If you refuse to cease and desist from interjecting yourself into this
controversy, you may become a witness or a party to the legal actions.
We await your decision.
